Upgrading to IIS 4.0

I am sure this has been covered before, but I must have missed it.

I am wondering if it's worth it to upgrade to IIS4? We have two IIS 3 =
servers that are working flawlessly and I hate to open a can of worms. =
What features does 4 have over 3, and what needs to be done to upgrade?
